Compound User Service Agreement

Shanghai Compound Technology Co., Ltd. (上海康庞得科技有限公司)

This Agreement, together with the Personal Information Processing Rules, the event-specific Informed Consent Form, the Event Rules, the Refund Rules, and other documents published or separately signed by Compound at the same time, constitutes the complete agreement between you and Compound.

Article 1 — Definitions and Scope of Application

  1. "Compound" or the "Platform" refers to the Compound website, applications, mini-programs, and other product forms operated by Shanghai Compound Technology Co., Ltd. that provide services to the public.
  2. "User" or "you" refers to the natural person who registers an account, signs up for an event, or uses any Compound service under this Agreement.
  3. "Health testing event" or "event" refers to the in-person or online health testing events organized from time to time by Compound, in which blood collection is provided by a duly qualified medical institution and testing is provided by a duly qualified medical laboratory.
  4. "Cooperating service provider" refers to third parties that cooperate with Compound to carry out an event, including medical institutions, medical laboratories, payment service providers, SMS service providers, cloud service providers, and the like.
  5. This Agreement applies to your access to and use of the Compound platform and all of its services.

Article 2 — Platform Positioning and Nature of Services

2.1 Compound is a technology and information service platform. Compound is not itself a medical institution, has not obtained a Medical Institution Practice License, and does not provide medical diagnosis, treatment, prescriptions, emergency care, nursing, or other medical services, nor does it issue any form of medical diagnosis.

2.2 The testing data, health scores, biological age, risk indications, lifestyle recommendations, nutrition or exercise suggestions, interpretive reports, and the like displayed by Compound on the Platform constitute general health information services only. They do not constitute medical diagnosis, treatment plans, prescription advice, or medication guidance, and cannot replace an in-person consultation with a licensed physician.

2.3 Services involving specific medical practice activities (such as blood collection and clinical testing) are provided in accordance with the law by duly qualified cooperating service providers selected by Compound, and the corresponding medical-practice liability is borne by such cooperating service provider in accordance with the law.

2.4 You understand and agree that Compound does not exercise clinical direction over, or substitute its management for, the conduct of cooperating service providers within their professional scope. Compound only performs, in accordance with the law, its obligations of reasonably selecting cooperating parties, providing information disclosure, organizing and coordinating, and assisting with communication.

Article 3 — Account Registration and Use

3.1 When registering a Compound account, you shall provide true, accurate, and complete personal information. If your information changes, you shall update it promptly; you bear sole responsibility for any consequences arising from false, inaccurate, or outdated information you provide.

3.2 You shall safeguard your account login credentials (including but not limited to your account name, password, verification codes, bound mobile number, and electronic signature keys). All activities conducted under your account are deemed to be your own and you bear the corresponding responsibility, unless you can prove that such activities were caused by Compound's fault or by reasons not attributable to you.

3.3 You may not lend, lease, sell, or transfer your account to others, nor may you allow others to impersonate your identity to sign up for events or submit another person's samples.

3.4 Only natural persons who are at least 18 years old and have full capacity for civil conduct may register an account and use this service. Minors and persons with limited or no capacity for civil conduct may not register an account on their own or participate in health testing events.

Article 4 — Service Content

The services Compound provides to you through the Platform include but are not limited to:

  1. registration, order management, and payment processing for health testing events;
  2. event-related notifications, reminders, and customer service;
  3. receiving and displaying testing data issued by the cooperating medical laboratory;
  4. generating general health information such as health information analysis, interpretive reports, trend analysis, and lifestyle recommendations based on testing data, health questionnaires, and publicly available scientific literature;
  5. other health-information-related services that Compound may add or adjust from time to time.

The service scope, testing items, prices, and service process of a specific event are governed by the event page you confirm at the time of registration and the corresponding Informed Consent Form.

Article 5 — Fees, Payment, and Invoices

5.1 You pay Compound a single, integrated package price for the event. This price may include the platform service fee, event organization fee, blood-collection service fee, testing service fee, sample handling and transport fee, report display and health analysis service fee, and the like.

5.2 After collecting the fee, Compound will settle accounts in accordance with its cooperation agreements with the blood-collection service provider, the testing service provider, and other necessary suppliers. Unless otherwise agreed in writing, you do not need to make any separate payment to the above service providers for fees under this event.

5.3 Payment methods are subject to the payment channels supported by the Platform. You shall pay using a payment account legally owned by you; you are responsible for resolving any disputes arising from your use of a payment account not belonging to you.

5.4 If you require an invoice, please apply in accordance with the invoicing rules published by the Platform. Compound only issues invoices within the scope of services between it and you; invoices involving blood-collection services or testing services may be issued separately by the corresponding service provider under its own rules, or issued collectively by Compound on its behalf, as published by the Platform.

Article 6 — Cancellation and Refund Rules

6.1 If you withdraw or cancel your registration before sample collection, you may apply for a refund in accordance with the refund rules published on the event page.

6.2 If blood collection or testing cannot be carried out because you are late, fail to attend, cannot have your identity verified, fail to cooperate as required, or conceal important health information, the matter will be handled in accordance with the rules published on the event page; reasonable costs already incurred may be deducted.

6.3 If on-site medical personnel, based on their professional judgment, consider you unsuitable for blood collection and refuse, suspend, or terminate the collection, Compound will handle the refund based on the costs actually incurred, the event rules, and principles of fairness.

6.4 After sample collection is completed, refunds are generally not available because the costs of blood collection, sample handling, transport, and testing have actually been incurred; however, if the sample becomes invalid, testing cannot be completed, or the primary service cannot be provided due to reasons attributable to Compound, the blood-collection service provider, or the testing service provider, you may apply for a partial or full refund in accordance with the event rules.

6.5 If some testing items fail while others are completed, the refund or remedy will be determined based on the nature and cause of the failed items, the costs already incurred, and the event rules.

6.6 Refunds will be returned via the original payment account used for payment; the time of arrival is subject to the payment channel.

Article 7 — Code of User Conduct

In the course of using this service, you shall comply with the laws and regulations of the People's Republic of China and this Agreement, and undertake not to engage in any of the following:

  1. providing false personal information or false health questionnaires, or impersonating another's identity;
  2. collecting samples on behalf of others, submitting samples that are not your own, or fraudulently obtaining reports in another's name;
  3. using Compound services to engage in any illegal or non-compliant conduct, conduct contrary to public order and good morals, or conduct that harms the lawful rights and interests of third parties;
  4. accessing, interfering with, or damaging the Compound platform or other users' data without authorization, or reverse-engineering, scraping, or attacking the Platform;
  5. copying, distributing, selling, or commercially exploiting Compound's report templates, interpretation models, product interface, copy, or other intellectual property achievements;
  6. using Compound reports to impersonate a medical institution or physician in making diagnoses or treatment commitments, or using reports as a basis for decisions that may have a material impact on the rights and interests of others, such as insurance claims, employment, or credit.

If you violate the above rules, Compound has the right to take measures according to the circumstances, including restricting service, suspending the account, terminating the account, refusing a refund, and pursuing legal liability.

Article 8 — Intellectual Property

8.1 The personality rights and personal information rights and interests corresponding to your personal information and testing data belong to you.

8.2 The intellectual property in Compound's report pages, analysis models, interpretive content, visual design, copy, product structure, trademarks, logos, and derivative content belongs to Compound or the relevant rights holders.

8.3 Provided that you do not breach this Agreement, Compound grants you a limited, non-transferable, non-exclusive, revocable license to view, download, and print reports related to yourself for your personal, non-commercial use only. Any other copying, adaptation, distribution, sale, or commercial use requires Compound's prior written permission.

Article 9 — Nature of Health Information Analysis (Important Disclaimer)

9.1 You understand and expressly agree that: all health information analysis, reports, indications, and recommendations provided by Compound on the Platform are for your personal health management reference only; they do not constitute medical diagnosis, treatment advice, medication guidance, or emergency services, and cannot replace an in-person consultation with a licensed physician.

9.2 For any decision regarding seeking medical care, taking or stopping medication, treatment, or major lifestyle adjustments, you must consult a duly qualified physician and rely on their in-person assessment. If you experience acute or severe symptoms, seek medical attention immediately, and do not rely on this service to delay seeking care, self-medicate, or adjust a treatment plan.

9.3 Testing results may be affected by many factors, such as sample quality, testing methods, individual physiological fluctuations, differences in the population to which reference ranges apply, and lifestyle; a single result outside the reference range does not mean you have a particular disease, and a single "normal" result does not mean there is no health risk.

9.4 The health scores, biological age, risk indications, and the like provided by Compound are general health information displays and are not used as a basis for decisions that may have a material impact on you or third parties, such as medical diagnosis, insurance underwriting, employment assessment, or credit assessment.

Article 10 — Allocation and Limitation of Liability

(1) Allocation of Liability

  1. Where losses are caused to you by faults, errors, or defects in Compound's own platform technology services, event organization and coordination, order management, data display, or health information analysis services, Compound shall bear the corresponding liability within the scope provided by law.
  2. Liability arising from the practice conduct, operations, records, or quality control of cooperating service providers (including but not limited to the blood-collection service provider and the testing service provider) within their professional scope shall be borne by the corresponding cooperating service provider in accordance with the law. Compound will, within a reasonable scope, assist you in communicating with and addressing matters with the corresponding service provider.
  3. Adverse consequences arising from your concealment or misreporting of information, impersonation, failure to cooperate with the service provider's arrangements, failure to follow relevant precautions, or failure to seek medical care in a timely manner shall be borne by you in accordance with the law.

(2) Limitation of Liability

10.1 To the extent permitted by law, for ordinary contractual losses arising from the platform technology services, event organization services, data display services, or health information analysis services provided by Compound, Compound's liability for compensation shall be capped at the service fee you actually paid to Compound for the relevant event.

10.2 To the extent permitted by law, Compound shall not be liable for the following indirect, incidental, special, or punitive losses, including but not limited to:

  1. loss of expected profits, loss of opportunity, or loss of goodwill;
  2. consequential losses arising from your own decisions on medical care, taking or stopping medication, treatment, or major lifestyle changes made in reliance on a health analysis report;
  3. consequences arising from your disclosure or dissemination of report information to third parties or your use of it for purposes other than personal health management;
  4. service interruption, delay, or failure caused by reasons beyond Compound's control, such as force majeure, public health events, government acts, policy adjustments, network failures, system failures, or reasons attributable to third-party service providers.

10.3 The foregoing limitations of liability do not apply to harm caused to you by Compound's intentional misconduct or gross negligence, nor do they limit liability that may not be limited under mandatory provisions of laws and regulations (such as statutory liability for personal injury, liability for infringing consumers' rights to life and health, and liability for infringing personal information rights and interests).

Article 11 — Service Changes, Suspension, and Termination

11.1 Compound has the right to adjust, change, add to, or terminate the content, form, and price of its services as needed for business development, regulatory requirements, technical upgrades, and the like. For material changes, Compound will notify you in advance by means such as platform announcements, in-app messages, SMS, or email.

11.2 You may stop using this service and apply to deregister your account at any time. After deregistration, you will no longer be able to use the services provided by Compound; the handling of account-related data is governed by this Agreement and the Personal Information Processing Rules.

11.3 If you violate this Agreement or laws and regulations, Compound has the right to immediately suspend or terminate the provision of services to you and reserves the right to pursue liability in accordance with the law.

Article 12 — Force Majeure and Change of Circumstances

Where service delay, change, suspension, or cancellation is caused by typhoon, earthquake, fire, epidemic, government control, regulatory policy adjustment, general internet outage, telecommunications network failure, sudden public health event, or other force majeure or change of circumstances, Compound shall not be deemed in breach; Compound will promptly notify you and handle the matter through consultation in accordance with principles of fairness and the relevant rules.

Article 13 — Notices and Service of Documents

Notices sent by Compound to you via your reserved mobile number, email address, in-app message, or platform announcement are deemed validly served as of the date of dispatch. Please keep your contact information valid and up to date.

Article 14 — Amendments to the Agreement

Compound has the right to amend this Agreement in response to changes in laws and regulations and the needs of business development. The amended Agreement will be published in a prominent location on the Compound platform; where the changes have a material impact on your rights and interests, Compound will notify you in a more prominent manner. If you do not agree to the amended Agreement, you should stop using the relevant services; continuing to use the relevant services is deemed acceptance of the amended Agreement.

Article 15 — Governing Law and Dispute Resolution

15.1 The conclusion, validity, interpretation, performance, and dispute resolution of this Agreement are governed by the laws of the People's Republic of China (excluding the laws of the Hong Kong SAR, the Macao SAR, and the Taiwan region).

15.2 In the event of a dispute arising from this Agreement or this service, you and Compound shall first resolve it through friendly consultation.

15.3 If consultation fails, disputes arising from Compound platform services shall be under the jurisdiction of the people's court at the defendant's domicile, the place of contract performance, or as otherwise having jurisdiction under the law; the statutory jurisdiction rights enjoyed by consumers under the law are not limited by this clause.

15.4 For disputes involving blood-collection services or medical testing services, you may assert your rights in accordance with the law before the court of the location of the blood-collection service provider or the testing service provider, the place where the service occurred, or as otherwise having jurisdiction under the law.

Article 16 — Miscellaneous

16.1 If any clause of this Agreement is found to be invalid, revoked, or unenforceable, this shall not affect the validity of the other clauses.

16.2 Electronic signing, web-page checkbox confirmation, SMS verification-code confirmation, signing via an electronic signature platform, and paper signing have equal legal effect. Compound will retain necessary signing records such as the agreement version, signing time, account, device, IP address, and checkbox records.

16.3 This Agreement, together with the Personal Information Processing Rules, the event-specific Informed Consent Form, the Event Rules, and the Refund Rules published or separately signed at the same time, constitutes the complete agreement. In the event of any conflict:

  1. personal-information-processing matters are governed by whichever provision more fully protects the user's rights and interests;
  2. matters specific to a particular event are governed by that event's Informed Consent Form;
  3. other matters are governed by this Agreement.
